第十章 經(jīng)營管理機構(gòu)

第三十條合營公司設(shè)管理機構(gòu)，負責(zé)公司的日常經(jīng)營管理工作。經(jīng)營管理機構(gòu)設(shè)總經(jīng)
理一人，由_________方推薦；副總經(jīng)理_________人，由甲方推薦_________人，乙方推薦_________人。總經(jīng)理、副總經(jīng)理由董事會聘請，任期_________年。

第三十一條 總經(jīng)理的職責(zé)是執(zhí)行董事會會議的各項決議，組織領(lǐng)導(dǎo)合營公司的日常經(jīng)營管理工作。副總經(jīng)理協(xié)助總經(jīng)理工作。
31.the president is responsible for the execution of all resolutions passed and adopted at the meetings of the board of directors and organizes and manages routine administrative and operating work while the vice president（s）shall assist the work of the president.
經(jīng)營管理機構(gòu)可設(shè)若干部門經(jīng)理，分別負責(zé)企業(yè)各部門的工作，辦理總經(jīng)理和副總經(jīng)理交辦的事項，并對總經(jīng)理和副總經(jīng)理負責(zé)。

第三十二條 總經(jīng)理、副總經(jīng)理有營私舞弊或嚴重失職的，經(jīng)董事會議決定可隨時撤換。

第十一章 設(shè)備購買
chapter eleven purchase of equipment
第三十三條 合營公司所需原材料、燃料、配套件、運輸工具和辦公用品等，在條件相同情況下，盡先在中國購買。
33.raw materials，fuels，subassemblies and components，transport vehicles and office apparatus needed by joint venture shall be purchased under the provision that if conditions are alike，china shall be given the priority to be the country where the purchase takes place.
第三十四條 合營公司委托乙方在國外市場選購設(shè)備時，應(yīng)邀請甲方派人參加。
